Terms of Service

These Terms of Service ("Terms") are a binding agreement between you
("you", "your") and Forge Frameworks Inc.
(Edmonton, Alberta, Canada) ("Forge Frameworks", "we",
"us", "our"), governing your access to and use of the Forge
Frameworks website at forgeframeworks.com ⟨CONFIRM domain — the marketing site and email
addresses currently mix .com and .ca⟩ (the "Site")
and the Forge Accounts platform at accounts.forgeframeworks.com — including "Sign in with Forge",
your Forge account, team management, and account-level billing (together with the Site, the
"Service").
What the Service is, and what it is not. The Service is the Forge Frameworks marketing site and the central identity and billing platform ("Forge Accounts") that lets one account hold access to several Forge Frameworks products. The individual products you reach through Forge Accounts — FieldForge, ScanForge, and TrainingForge (the "Forge Products") — each have their own Terms of Service that govern your use of that product. These Terms do not replace a Forge Product's terms; both apply when you sign in to a Forge Product (see Section 3). CookiesPrivacyManager, SettingTheMenu, and BudgetForge are separate, standalone products with their own logins, billing, and terms; they are not part of Forge Accounts and are not governed by these Terms.
1. Who we are and acceptance of these Terms
The Service is operated by Forge Frameworks Inc., a company based in Edmonton, Alberta, Canada ⟨CONFIRM registered legal name, number, and address⟩. By browsing the Site, creating a Forge account, clicking to accept these Terms, signing in with Forge, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity — for example, when you create a Forge account for your organization — you represent that you have authority to bind that entity, and "you" refers to both you and that entity. If you do not agree, do not use the Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference and explains what information we collect and how we handle it. The Privacy Policy is available at forgeframeworks.com/privacy ⟨CONFIRM domain⟩. These Terms do not restate it.
2. Eligibility and accounts
Eligibility. To create or hold a Forge account you must be at least 16 years old ⟨CONFIRM⟩ and able to form a binding contract. Forge Accounts is intended for businesses and their authorized adult personnel; where you register on behalf of an organization, the Service is for that organization's internal use.
Forge accounts and the account structure. When you sign up, we create a Forge account (a company or organization record — the "account") and make you its first owner. An account can have one or more members (the people you invite), each with a role, and an account can hold access to one or more Forge Products. The account is the entity that holds product access and, once billing is live, is the party billed (see Section 6).
Account owner responsibilities. The account owner is responsible for the account, for the members they invite or authorize, for assigning and revoking roles, and for ensuring that every member's use of the Service and of any Forge Product complies with these Terms and that product's terms. You are responsible for all activity that occurs under your account and under your members' credentials, whether or not you authorized it. If you add members, you confirm you have the authority to bind them to these Terms and that you may share their information with us for the purpose of provisioning their access.
Credentials, "Sign in with Forge", and 2FA. You must provide accurate, current,
and complete registration information and keep it up to date. You are responsible for safeguarding your
credentials. Because Forge Accounts is a single sign-on for the Forge Products, your Forge credentials
may grant access to more than one product — keep them confidential, do not share them, and enable
two-factor authentication (2FA) where offered. Notify us promptly at
hello@forgeframeworks.ca if you suspect any unauthorized use of your account. We may
refuse, suspend, reclaim, or reset any account, username, or credential at our reasonable discretion,
including to protect the Service or its users.
3. Description of the Service
The Service has two parts:
- The Site — our public website at forgeframeworks.com ⟨CONFIRM domain⟩, which provides marketing and informational content about Forge Frameworks and its products, a contact form, and a waitlist. The Site is provided for general information; nothing on it is a binding offer, and product descriptions, pricing, and availability may change.
- Forge Accounts — the account portal at accounts.forgeframeworks.com and the "Sign in with Forge" identity service. Through Forge Accounts you can create and manage your account, manage team members and their roles, manage account-level settings and security (including 2FA), sign in to the Forge Products, and — once billing is live — manage subscriptions, payment methods, and invoices for the account.
How Forge Accounts and the Forge Products fit together. Forge Accounts is the central place to log in and manage identity, billing, and product access. When you use "Sign in with Forge" to access a Forge Product, we pass that product a limited set of information about you and your account (for example, your identity and which products your account is entitled to use) so the product can grant you access. Your use of each Forge Product is governed by both these Terms and that product's own Terms of Service. In the event of a conflict between these Terms and a Forge Product's terms, the Forge Product's terms control for matters specific to that product (such as how the product behaves and what it does with your content), while these Terms control for matters of identity, account structure, and account-level billing.
We may add, change, or remove features of the Service, and we may add or remove products from Forge Accounts, over time.
4. Acceptable use
You agree not to, and not to permit any member or other person to:
- use the Service in violation of any applicable law or regulation, or any third-party right, including privacy, intellectual-property, or anti-spam (CASL) laws;
- access, tamper with, or use non-public areas of the Service, our systems, or our identity, billing, or OAuth/OIDC infrastructure, or probe, scan, or test the vulnerability of any of them, or breach or circumvent any authentication, 2FA, rate-limiting, or security measure;
- attempt to obtain, forge, replay, or misuse access tokens, refresh tokens, entitlement claims, or other credentials issued by "Sign in with Forge", or to impersonate any person or account;
- register or use an account with false information, use another person's account, or share credentials except as expressly permitted;
- upload or transmit malware, or use the Service to gain unauthorized access to any account, system, or data;
- interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure, including via automated scraping, denial-of-service, or excessive requests to the Site's contact form or waitlist;
- resell, sublicense, or make the Service available to any third party except your own authorized members, or use it to build a competing product; or
- reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by law.
We may throttle, suspend, or limit activity to protect the Service, our infrastructure, and our users.
5. Your data and content
As between you and us, you retain all right, title, and interest in the information you and your members submit to the Service — your account and profile details, company information, team roster, and account-level settings ("Account Data"). You grant us a worldwide, non-exclusive licence to host, copy, process, transmit, and display Account Data, and to share identity and entitlement information with the Forge Products you use, solely to provide, secure, maintain, and improve the Service for you and as otherwise permitted by the Privacy Policy.
Account Data managed here is account-level identity and billing information. The content you create inside a Forge Product (for example, FieldForge job or invoice data) is governed by that product's terms and Privacy Policy, not these Terms.
We are committed to the following, which are reflected in how the Service is built:
- We do not sell your personal information, and we do not share it except as needed to operate the Service or as described in the Privacy Policy.
- We do not use your data to train artificial-intelligence or machine-learning models. (Our products were built with the help of AI coding assistants — a fact about how we develop software, not about how we use your data.)
You are responsible for the lawfulness of the Account Data you submit and for having the authority to submit information about the members you add. Our handling of personal information is described in the Privacy Policy.
6. Subscriptions, billing, auto-renewal, taxes, and refunds
Billing status. Paid subscriptions for the Forge Products are billed through your Forge account. Billing through Forge Accounts is not yet live at the date of these Terms; where a Forge Product is currently billed directly by that product, that arrangement continues until it is migrated to Forge Accounts. The terms in this section apply once billing through Forge Accounts is enabled for your account.
- One billable account. Your Forge account is the single billable entity. When billing is live, the Forge Products your account uses are billed to one payment method under one customer record for the account, with each product represented as its own subscription or line item. Prices and plans are described at the time of purchase and are billed in Canadian dollars (CAD) ⟨CONFIRM currency and pricing⟩.
- Payment processor. Payments are processed by Stripe through Laravel Cashier. By subscribing, you authorize us and Stripe to charge your payment method for the recurring fees and applicable taxes. We do not receive or store your full card number.
- Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current rate, using the payment method on file for the account, until cancelled.
- Cancellation. You may cancel a subscription at any time from your account's billing page. Cancellation takes effect at the end of the current billing period; the subscription remains active until then, and you will not be charged for the next period.
- No partial refunds. Except where required by applicable law, fees are non-refundable and we do not provide credits or refunds for partial billing periods, unused entitlements, or downgrades.
- Taxes. Stated prices are exclusive of taxes unless noted. You are responsible for applicable sales, use, GST/HST, or similar taxes, which we may add to your charges.
- Price changes. We may change fees or introduce new charges. We will give reasonable advance notice (for example, by email or in-app), and changes take effect on your next renewal. Continuing to use the Service after a price change takes effect means you accept it.
- Failed payments. If a charge fails, we may retry it and may suspend, downgrade, or restrict the account's access to the affected Forge Product(s) until payment is resolved.
7. Third-party services and sub-processors
The Service relies on third-party providers to operate — including Stripe for payment processing and our hosting and infrastructure providers. These providers process limited data on our behalf as sub-processors, and their handling of information is described in our Privacy Policy. Signing in to a Forge Product connects you to that product, which has its own terms and Privacy Policy. We are not responsible for third-party systems or for products and services that are not part of Forge Accounts.
8. Intellectual property
The Service, including its software, the "Sign in with Forge" identity system, user interface, content, documentation, and the Forge Frameworks and Forge names and logos, and all intellectual-property rights in them, are owned by Forge Frameworks and its licensors. Except for the rights expressly granted to you in these Terms, we reserve all rights. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes, subject to these Terms.
Feedback. If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them to improve and develop the Service, without obligation or compensation to you.
9. Service availability, changes, and beta features
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and availability can be affected by factors outside our control. Because Forge Accounts is the sign-in path for several products, an interruption to Forge Accounts may temporarily affect your ability to sign in to a Forge Product. We may modify, add, or remove features of the Service from time to time. Any feature identified as "beta", "preview", or "experimental" is provided "as is" for evaluation, may be changed or withdrawn at any time, and may be less reliable than generally available features.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment. We do not warrant that the Service will be uninterrupted, secure, or error-free, that sign-in or entitlement information will always be available or current, or that the Service will meet your requirements. You use the Service at your own discretion and risk.
11. Limitation of liability
To the maximum extent permitted by law:
- Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.
- Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) CAD $100.
Savings clause. Nothing in these Terms excludes or limits either party's liability where it cannot be excluded or limited under applicable law. In particular, nothing in these Terms limits or waives any rights or remedies you may have under Canadian consumer-protection legislation or other laws that cannot be excluded by contract. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
12. Indemnification
You will defend, indemnify, and hold harmless Forge Frameworks and its officers, directors, employees, and agents from and against any third-party claims, demands, losses, liabilities, damages, and reasonable expenses (including legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your or your members' use of the Service; (c) your Account Data; or (d) your violation of any law or third-party right. We will notify you of any such claim, allow you to control the defence (with our right to participate using our own counsel), and reasonably cooperate; you may not settle a claim in a way that imposes any obligation or admission on us without our prior written consent.
13. Suspension and termination
You may stop using the Service at any time and may close your account (subject to any active subscriptions, which are handled under Section 6). We may suspend or terminate your access, in whole or in part, if: (a) you materially breach these Terms, including the acceptable-use rules in Section 4; (b) your use poses a security, legal, or operational risk to us, the Service, or its users; (c) required by law; or (d) a payment fails and is not cured. Where practical and lawful, we will give notice and an opportunity to cure, but for serious violations we may act immediately.
Because Forge Accounts is the sign-in path for the Forge Products, suspending or terminating your Forge account may end your access to the Forge Products that rely on it. On termination, your right to use the Service ends and we may disable your account. We will handle Account Data after termination as described in the Privacy Policy (including any retention or deletion periods). Sections 5, 8, 10, 11, 12, 14, and any others that by their nature should survive, survive termination.
14. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Alberta and the federal
laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to any non-waivable
rights you have where you are located, you and we submit to the exclusive jurisdiction of the courts
located in Alberta, Canada for any dispute arising out of or relating to these Terms
or the Service. Before starting formal proceedings, the parties will attempt in good faith to resolve
the dispute by contacting legal@forgeframeworks.ca ⟨CONFIRM⟩.
15. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice (for example, by email or in-app) before it takes effect and update the "Last updated" date above. Your continued use of the Service after a change takes effect means you accept the revised Terms. If you do not agree, you must stop using the Service and may close your account.
